II, a vehicle set up by Michel Combes and Andrew Gundlach, at a $2 billion pre-money valuation. The deal includes $200 million in convertible financing and $289 million in cash, assuming no investor redemptions. The combined company is expected to have a pro forma market capitalization of about $2.6 billion,
